DNA Holdings Raises $344M for Decentralized AI

Catenaa, Tuesday, October 07, 2025-DNA Holdings Venture Inc., a digital asset investment and advisory firm, has orchestrated a $344.4 million capital formation strategy to establish a Strategic Compute Reserve, linking Wall Street capital with decentralized AI infrastructure for the first time.

The landmark deal integrates two concurrent private placements in public equity, or PIPEs, including a cash PIPE and a crypto PIPE with in-kind contributions of ATH tokens, the native utility token of the Aethir decentralized GPU network.

Pre-funded warrants issued in the crypto PIPE will become exercisable after shareholder approval, with both PIPEs slated to close around October 2, 2025.

The structure enables public companies, institutional investors, and retail participants to access decentralized enterprise-grade AI compute.

DNA Holdings acted as strategic advisor, structuring lead, and cash investor, coordinating alignment across public market investors, digital asset contributors, and ecosystem partners.

Christopher Miglino, co-founder of DNA, described the collaboration with Aethir as a milestone that demonstrates the transformative potential of decentralized AI in traditional capital markets.

The initiative establishes a global Strategic Compute Reserve powered by Nvidia GPUs distributed across the Aethir network, offering compute services for AI, gaming, and enterprise cloud at 40–80% lower cost than traditional providers.

The model positions decentralized GPU infrastructure as a corporate treasury asset while bridging financial capital with operational compute capacity.

H.C. Wainwright & Co. served as exclusive placement agent. Legal counsel was provided by DLA Piper LLP to the issuer and Sheppard Mullin Richter & Hampton LLP to DNA Holdings.

DNA Holdings specializes in token ecosystem design, hybrid capital formation, and Web3 integration for public and institutional markets.

Aethir operates over 435,000 GPU containers across 93 countries, providing enterprise-scale GPU-as-a-Service through its ATH token.
